Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Green Ledger platform, websites, and related services (collectively, the “Platform”), operated by Green Ledger (“Green Ledger,” “we,” “us,” or “our”). By creating an account, accepting these Terms during signup or checkout, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who These Terms Apply To

The Platform serves several types of users:

  • Service Providers — landscaping and lawn-care businesses that subscribe to the Platform to manage customers, scheduling, invoicing, contracts, teams, and payments.
  • Team Members — administrators, team leads, and employees invited by a Service Provider to use the Platform under that provider’s account.
  • Customers — property owners and residents who use the customer portal to request services, approve quotes, sign contracts, and pay invoices issued by a Service Provider.

Green Ledger provides software. Unless expressly stated otherwise, Green Ledger is not a party to any agreement between a Service Provider and its Customers. Service Providers are independent businesses solely responsible for the services they offer, perform, price, and warrant.

2. Accounts and Security

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly of any suspected unauthorized access. We may suspend or terminate accounts that violate these Terms, present a security risk, or remain delinquent on amounts owed.

Team Member access is controlled by the Service Provider that invited them. Service Providers are responsible for managing their team’s permissions and for their team’s use of the Platform.

3. Subscriptions, Seats, and Platform Fees

Service Provider access is sold on a subscription basis, priced by seats (administrator, team lead, and employee seats). Subscription fees, seat changes, and any applicable platform fees are presented at checkout or in the billing area of your account before you are charged. Except where required by law or expressly stated, fees are non-refundable.

Unpaid platform invoices may accrue late penalties on the schedule disclosed in your billing settings, and continued non-payment may result in suspension of your account until the balance is resolved.

4. Payments and Stripe

Payment processing on the Platform is provided by Stripe. By making or accepting payments through the Platform you also agree to the applicable Stripe agreements, including the Stripe Services Agreement and, for Service Providers, the Stripe Connected Account Agreement. Green Ledger does not store full card numbers or bank credentials; payment instruments are collected and held by Stripe.

When a Customer pays an invoice, the Service Provider is the merchant of record. Green Ledger may deduct a disclosed platform fee from payments processed through the Platform. Refunds, chargebacks, and billing disputes between a Customer and a Service Provider are the responsibility of the Service Provider.

5. Lead Marketplace

The Platform includes an optional marketplace where Service Providers may list and purchase service leads. Lead purchases are payments between Service Providers, processed by Stripe, with the selling provider as merchant of record. Marketplace use is subject to additional terms presented and accepted inside the Platform (including verification-code acceptance), which include non-solicitation obligations between buyer and seller. Lead purchases are final once completed, except as required by law.

6. Contracts and Electronic Signatures

The Platform provides tools for Service Providers and Customers to create, review, and electronically sign service contracts. By using these tools you consent to transact electronically and agree that electronic signatures, acceptance clicks, and verification-code confirmations captured by the Platform have the same effect as handwritten signatures. The content of any service contract is determined by the parties to it — Green Ledger does not draft, review, or guarantee those contracts.

7. Acceptable Use

You agree not to:

  • use the Platform for any unlawful purpose or in violation of these Terms;
  • access another tenant’s data or attempt to bypass access controls;
  • probe, scan, or test the vulnerability of the Platform without written permission;
  • upload malicious code or content that infringes the rights of others;
  • scrape, harvest, or resell Platform data or use it to build a competing product;
  • misrepresent your identity, business, or authority to act for another person.

8. Your Content

You retain ownership of the content you submit to the Platform — customer records, property details, photos, contracts, notes, and similar material (“Your Content”). You grant Green Ledger a limited license to host, process, transmit, and display Your Content solely to operate and improve the Platform. You are responsible for having the rights and consents needed to submit Your Content, including consent from individuals whose personal information it contains.

9. Privacy

Our collection and use of personal information is described in the Privacy Policy. For personal information that a Service Provider’s business collects about its Customers, the Service Provider is the data controller and Green Ledger processes that information on the provider’s behalf.

10. Text Messaging (SMS)

If you opt in to text messages, you agree to receive service-related SMS messages from Green Ledger and/or your Service Provider, including appointment confirmations and reminders, crew en-route alerts, schedule changes, invoice and payment notices, one-time verification codes, and other platform notifications. Consent is not a condition of purchasing any service. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time or HELP for help. 11. Availability and Changes

We work to keep the Platform available and secure, but it is provided on an “as is” and “as available” basis. We may modify, add, or remove features, and may suspend the Platform for maintenance or security reasons. We will use reasonable efforts to give notice of material changes that adversely affect paid functionality.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEN LEDGER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GREEN LEDGER DOES NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR PERFORMANCE OF SERVICES PROVIDED BY ANY SERVICE PROVIDER, AND MAKES NO GUARANTEE THAT LEADS PURCHASED THROUGH THE MARKETPLACE WILL RESULT IN BUSINESS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEN LEDGER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. GREEN LEDGER’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GREEN LEDGER IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

14. Indemnification

You agree to indemnify and hold Green Ledger harmless from claims arising out of Your Content, your use of the Platform in violation of these Terms, or — if you are a Service Provider — the services your business provides to its Customers.

15. Termination

You may stop using the Platform at any time; Service Providers may cancel their subscription through their billing settings. We may suspend or terminate access for material breach of these Terms, non-payment, or risk to the Platform or its users. Sections that by their nature should survive (including Sections 8, 11, 12, and 13) survive termination. Following termination, Service Providers may request an export of their business data within a reasonable window before deletion.

16. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the current version. For material changes we will provide notice through the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Green Ledger is organized, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute informally by contacting us through the contact page before pursuing formal proceedings.
